These Terms and Conditions ("Terms") govern your access to and use of the website dristitech.com, our client portal at manage.dristitech.com, and all services offered by Dristi Technologies & IT Services Pvt. Ltd. ("Dristi Technologies", "Company", "we", "us", or "our"), including cloud architecture & migration, DevOps & platform engineering, CRM/ERP & enterprise software development, AI/ML solutions, managed IT services, web & mobile development, and the WhatsApp Business Suite SaaS platform (the "Service").
By accessing our website, creating an account, or subscribing to any service, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.
1. Acceptance of Terms
By using any part of dristitech.com, the client portal at manage.dristitech.com, or any service provided by Dristi Technologies, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Our Services
Dristi Technologies provides two broad categories of services:
- Custom IT & Enterprise Services — cloud architecture and migration, DevOps and platform engineering, CRM/ERP and enterprise software development, AI/ML solutions, managed IT and 24×7 support, and web & mobile application development, delivered under individually agreed proposals, statements of work (SOW), or service agreements.
- WhatsApp Business Suite — a subscription-based SaaS platform for WhatsApp business messaging, broadcast campaigns, automation, team inbox, and analytics, delivered via the WhatsApp Business Platform (Cloud API) operated by Meta Platforms, Inc. ("Meta").
3. Account Registration & Client Portal
To purchase or manage any Service, you must register an account on our client portal at manage.dristitech.com. You agree to:
- Provide accurate, current, and complete information during registration and keep it up to date.
- Maintain the confidentiality of your login credentials and restrict access to authorized personnel only.
- Be responsible for all activities that occur under your account.
- Notify us immediately at sales@dristitech.com if you suspect any unauthorized use of your account.
4. WhatsApp Business Suite — Eligibility & WhatsApp Policy Compliance
The WhatsApp Business Suite operates on top of the WhatsApp Business Platform (Cloud API), which is owned and operated by Meta. Your use of the Service is subject to Meta's WhatsApp Business Policy and Commerce Policy in addition to these Terms.
- You must own, or have the legal right to connect and operate, the WhatsApp Business Account and phone number used with the Service.
- All message templates are subject to review and approval by Meta. Dristi Technologies assists with template submission but does not guarantee approval, approval timelines, or ongoing availability of any template.
- You must comply at all times with WhatsApp's Business Policy (whatsapp.com/legal/business-policy) and Commerce Policy (whatsapp.com/legal/commerce-policy), including restrictions on prohibited industries, content, and messaging practices.
- You must comply with WhatsApp's messaging limits and quality rating requirements as set by Meta.
- Meta has sole discretion to approve, reject, restrict, or ban any WhatsApp Business Account, phone number, or message template. Such actions are taken solely by Meta and Dristi Technologies bears no responsibility or liability for them.
- We will assist with WhatsApp Business Platform onboarding and business verification where requested, but do not guarantee approval or timelines, as these are determined solely by Meta.
5. Subscription Plans, Fees & Billing
- The WhatsApp Business Suite is offered under Starter, Growth, and Enterprise plans, billed monthly or annually through our client portal.
- Fees are displayed in Indian Rupees (₹) or, where geo-location based currency detection is available, in an equivalent estimated amount in your local currency; actual billing currency and amount is confirmed at checkout.
- Subscriptions are billed in advance for the selected billing cycle (monthly or annual) and renew automatically unless cancelled before the renewal date.
- Prices, plans, and features may change from time to time. We will provide reasonable advance notice of any price increase affecting an active subscription.
- Applicable taxes (such as GST) are charged in addition to the listed subscription fee, where applicable.
6. WhatsApp Cloud API Conversation Charges
In addition to your Dristi Technologies subscription fee, Meta separately charges for messages sent via the WhatsApp Business Platform (Cloud API) on a per-conversation basis. These charges are determined, billed, and collected by Meta according to Meta's own pricing (see developers.facebook.com/docs/whatsapp/pricing) and are entirely separate from, and in addition to, your subscription fee for the WhatsApp Business Suite. Dristi Technologies is not responsible for, and has no control over, changes to Meta's conversation-based pricing or billing practices.
7. Custom Development & Managed Services
For cloud, DevOps, CRM/ERP, AI/ML, managed IT, and custom web or mobile development engagements, the scope of work, deliverables, timelines, milestones, and fees will be governed by a separately executed proposal, statement of work (SOW), or service agreement. In the event of any conflict between these Terms and a specific SOW or service agreement for such an engagement, the terms of that SOW or agreement will take precedence for that engagement.
8. Free Trial & Promotional Offers
We may, at our discretion, offer free trial periods or promotional discounts (such as promo codes) for the WhatsApp Business Suite. We may modify, limit, or withdraw any trial or promotional offer at any time without notice. Misuse of trial or promotional offers — including creating multiple accounts to repeatedly claim a trial — may result in suspension of the affected accounts.
9. Cancellation, Refunds & Termination
- You may cancel your WhatsApp Business Suite subscription at any time through the client portal; cancellation takes effect at the end of your current billing cycle, and you will retain access until then.
- Subscription fees already paid are non-refundable, except where expressly stated otherwise for a specific plan or as required by applicable law.
- We may suspend or terminate your access to the Service, with or without notice, for breach of these Terms, non-payment of fees, or violation of WhatsApp's Business Policy or Commerce Policy.
- Upon cancellation or termination, Customer Data within the WhatsApp Business Suite (such as contacts, conversations, templates, and automation flows) may be permanently deleted after a reasonable grace period. We strongly recommend exporting any data you wish to retain before your subscription ends.
10. Intellectual Property
The dristitech.com website, the client portal, the WhatsApp Business Suite platform, and all related software, designs, trademarks, logos, and content (excluding Customer Data) are the property of Dristi Technologies or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted under these Terms or a separate agreement, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on our platform or website.
11. Customer Content & Data
As between you and Dristi Technologies, you retain ownership of all Customer Data — including contacts, message templates, conversation content, and business information — that you upload to or generate through the WhatsApp Business Suite. You grant Dristi Technologies a limited license to host, process, and transmit such Customer Data solely for the purpose of providing, maintaining, and supporting the Service (including transmission to Meta via the WhatsApp Business Platform). You are solely responsible for ensuring that you have the necessary rights, permissions, and consents to upload contact information and to message those contacts.
12. Acceptable Use Policy
You agree not to use our website, client portal, or the WhatsApp Business Suite to send, store, or transmit content or messages that:
- Contain viruses, malware, or other harmful code, or are unlawfully obtained.
- Are false, misleading, fraudulent, or impersonate any person or entity.
- Are spam, unsolicited, or violate WhatsApp's messaging and opt-in requirements.
- Are harassing, abusive, threatening, defamatory, obscene, hateful, or discriminatory.
- Infringe the intellectual property, privacy, or other rights of any third party.
- Target or are directed at individuals under the age of 16, or otherwise violate any applicable law.
- Violate WhatsApp's Business Policy, Commerce Policy, or any restricted-industry guidelines.
You also agree not to attempt to disable, overburden, or impair our systems, gain unauthorized access to any part of the Service, scrape or data-mine the platform, or build a competing product using information obtained from the Service.
13. Service Availability & Modifications
We work to keep our website, client portal, and the WhatsApp Business Suite available and performing well, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, and may modify, suspend, or discontinue features of the Service from time to time. Where reasonably practicable, we will provide advance notice of material changes that affect active subscriptions.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Dristi Technologies' total aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by you for the relevant Service in the twelve (12) months immediately preceding the event giving rise to the claim.
Dristi Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business, or goodwill, arising from your use of, or inability to use, the Service.
Dristi Technologies is not responsible for, and shall have no liability arising from, any action taken by Meta or WhatsApp — including approval, rejection, restriction, suspension, or banning of any WhatsApp Business Account, phone number, or message template, or any change to WhatsApp's pricing, policies, or platform availability.
15. Indemnification
You agree to indemnify, defend, and hold harmless Dristi Technologies, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of WhatsApp's Business Policy or Commerce Policy, or (d) your violation of any third-party right, including intellectual property or privacy rights.
16. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Service or any project engagement, and to use such information only for the purposes of the engagement, except where disclosure is required by law or regulatory authority.
17. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts at Pune, Maharashtra, India.
18. Changes to These Terms
We may revise these Terms from time to time. The "Last Updated" date at the top of this page indicates when these Terms were last revised. Material changes affecting active subscriptions will be communicated via email or a notice on the client portal. Your continued use of our website or Services after any change constitutes your acceptance of the revised Terms.
